End-User License Agreement (EULA)

Woohelps International Technology Ltd. – Internal QuickBooks Connector

Effective Date: June 25, 2025

1. Grant of License

Woohelps International Technology Ltd. (“Company,” “we,” “our”) grants you, its employee or contractor (“User”), a non-transferable, non-sublicensable, revocable license to access and use the Internal QuickBooks Connector software (“Software”) solely for Company bookkeeping purposes and only with the Company's own QuickBooks Online company (“QBO Account”).

2. Restrictions

User shall not:

  • Distribute, sell, lease, or sublicense the Software or any access tokens.
  • Provide access to any third party outside Company without written consent.
  • Reverse-engineer, decompile, or attempt to derive source code, except as allowed by law.
  • Use the Software with any QBO Account not owned by Company.

3. Ownership

The Software, including all intellectual-property rights, remains the exclusive property of Company. No rights are granted other than those expressly set forth herein.

4. Data Handling & Security

User understands that the Software accesses financial data (customers, invoices, payments, etc.) from the QBO Account via Intuit's API.

Storage: Data are stored only in Company-controlled infrastructure located in 1410 Pringle Cres, Saskatoon, Saskatchewan, Canada and encrypted at rest and in transit.

Access: OAuth 2.0 access tokens are encrypted and rotated automatically; least-privilege IAM policies are enforced.

5. Confidentiality

All QuickBooks data and any business information processed by the Software are Company Confidential Information. User must protect such data with reasonable care and use it only for legitimate accounting tasks.

6. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. COMPANY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

In no event will Company be liable for indirect, incidental, special, or consequential damages arising from the use or inability to use the Software, even if advised of the possibility of such damages. Aggregate liability will not exceed CAD 100.

8. Termination

Company may terminate this EULA and User's access at any time. Upon termination, User must cease all use and delete any local copies of Software or data exports.

9. Governing Law

This Agreement is governed by the laws of Saskatchewan, Canada, without regard to conflict-of-laws principles.
